These Terms of Service ("Terms") govern your use of the services provided by AlgOps s.r.o. ("AlgOps," "we," "our," or "us"), located at Kaprova 42/14, Staré Město, 110 00, Praha, VAT ID 10804561. By accessing or using our services, you agree to comply with and be bound by these Terms.

1. Overview of Services

AlgOps provides software-enabled services, primarily focused on the customization and analysis of sales-related data through tools like large language models, machine learning algorithms, and integrations with sales intelligence providers, data warehouses, CRMs, and other tools. Typical use-cases, described at https://www.algops.com/use-cases, may vary and are customizable based on customer needs.

In addition to our core software offerings, AlgOps may provide additional services to enhance software performance, such as ideal customer profile (ICP) research, competitive analysis, and acquisition strategy consulting. The specific services provided for each client will be outlined in a proposal or agreement.

2. Acceptance of Proposal and Initiation of Services

The contractual relationship between AlgOps and the client begins upon acceptance of a proposal. This proposal can be accepted either via e-signature using PandaDoc or via an official email agreement from a company representative. The pricing details, scope, and other conditions of the service are included in this proposal or email agreement. The binding price for each client is provided in the agreed proposal or email and may differ from general pricing on https://www.algops.com/pricing.

3. Pricing and Subscription Terms

• Setup Fee: An initial setup fee may apply at the start of the project unless otherwise specified in the agreement.
• Monthly Subscription: AlgOps operates on a monthly subscription model, with a predetermined maximum volume of services included per month. Unused monthly services do not carry over unless explicitly agreed upon.
• Project Reconfigurations: Each subscription includes one use case reconfiguration per month. Additional reconfigurations may incur an additional charge.

4. Permitted Use of Data

Customers may use the data and insights provided by AlgOps strictly for internal purposes only. Customers are not permitted to resell, redistribute, or otherwise share the data provided by AlgOps with third parties without prior written consent. Any external use of AlgOps-generated data must be explicitly agreed upon.

5. Public Use of Customer Logo and Use Case Information

By using our services, customers grant AlgOps the right to use their company name, logo and a general description of their use case for the purpose of showcasing AlgOps’ capabilities on our website, social media profiles, during calls, and in-person meetings. However, AlgOps will not disclose any confidential or internal information related to the client’s project, such as specific setup configurations, results, or other non-public data, except as permitted for this marketing purpose. The client’s prior written consent will be required for any sharing of more specific or private data beyond the general use case description.

6. Data and Third-Party Providers

AlgOps may utilize third-party services to obtain data necessary for project delivery, training or fine-tuning proprietary algorithms and other machine learning models. Upon request, we can provide a list of third-party providers used in this project.

• Shared Data: Publicly available data, such as company websites and technologies, may be shared among multiple customers and are included in the monthly subscription. These shared data resources do not incur additional fees.
• Exclusive Data: On-demand data obtained exclusively for a client, such as decision-makers contact information or specific attributes derived from a website, will be charged separately if applicable (e.g., reinvoicing API costs). Such exclusive data are owned solely by the client and will not be shared or resold by AlgOps.

7. Data Privacy and Security

• Private Data: AlgOps does not share clients’ private data, such as financial records, usage data, or other proprietary information, with other clients. These private data are used solely for the client’s specific requirements and may be processed by isolated algorithms that are exclusively accessible within the client’s plan.
• Data Accuracy: While AlgOps strives to ensure data accuracy, we cannot guarantee it due to factors beyond our control, including the quality of third-party sources, algorithmic limitations, and external variables.

8. Confidentiality and Intellectual Property

AlgOps and the client agree to maintain the confidentiality of all proprietary or confidential information exchanged in connection with the services provided. Both parties acknowledge that all intellectual property rights related to proprietary software, machine learning models, and methodologies used in delivering services remain with AlgOps, except for exclusive data purchased by the client as outlined in Section 6.

9. Compliance and Security Standards

AlgOps adheres to industry-recognized SOC 2 compliance standards to ensure secure data handling, operational controls, and privacy practices.

10. Disclaimer of Warranties and Limitation of Liability

AlgOps provides its services on an "as-is" basis and disclaims any warranties, express or implied, including but not limited to the accuracy, completeness, or reliability of data obtained from third parties. AlgOps shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services, except in cases of gross negligence or willful misconduct.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Czech Republic. Any legal disputes arising from these Terms or the services provided by AlgOps will be resolved in Czech courts.

12. Modifications to Terms

AlgOps reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes via email or website notification. Continued use of our services after any such modification constitutes acceptance of the new Terms.
